Welcome to Smart Refill, a platform operated by River Tech Inc., doing business under the trade name Smart Refill (“Smart Refill,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Smart Refill platform, applications, and related services (collectively, the “Services”). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About Smart Refill

Smart Refill is the Philippines’ first AI-powered platform designed for water refilling stations. We help station owners, staff, and businesses streamline operations, manage customers, and grow with technology-driven tools.

2. Eligibility

To use Smart Refill, you must:

  • Be at least 18 years old.
  • Register with accurate information.
  • Be authorized to represent your refilling station or business.

We reserve the right to verify eligibility and decline service if requirements are not met.

3. Your Account

  • Responsibility – You are responsible for keeping your account credentials secure.
  • Authorized Users – If you grant staff access, you are responsible for their activity.
  • Accuracy – Keep your business and contact details accurate and updated.

4. Use of Services

When using Smart Refill, you agree to:

  • Use the platform only for lawful business purposes.
  • Comply with all applicable health, water quality, and regulatory standards.
  • Not misuse, reverse-engineer, or interfere with the platform’s operation.
  • Not use Smart Refill for fraudulent, harmful, or unauthorized activities.
  • Allow Smart Refill to send automated transactional messages to your customers via SMS or email.

5. Service Features

Smart Refill provides tools including (but not limited to):

Smart Dashboard for business operations.
AI-powered insights and automation.
Customer acquisition through River Mobile App and Smart Refill Business.
CRM, loyalty, and communication tools.
Compliance support for water safety and accreditation.

We may add, improve, or modify features over time.

6. Payments & Fees

  • Some Services may require subscription or usage-based fees.
  • Prices and billing cycles will be communicated at signup or before purchase.
  • <strong>Refund Policy:</strong> Unless otherwise required by law, all fees are non-refundable due to the digital nature of the services provided.
  • <strong>Cancellation:</strong> You may cancel your subscription at any time. Access will continue until the end of the current billing cycle.
  • Late or failed payments may result in suspension or termination of Services.

7. Data & Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and safeguard your information.

You retain ownership of your business and customer data. By using our Services, you grant Smart Refill a limited license to process and store data solely to operate and improve the Services.

10. Intellectual Property

  • Smart Refill owns all rights in the platform, including software, branding, and designs.
  • You may not copy, modify, distribute, or resell any part of Smart Refill.
  • You retain rights to content you upload (such as business names or customer details).

8. Service Availability

  • We aim for high availability but cannot guarantee uninterrupted operation.
  • Offline mode and backups help ensure continuity.
  • We are not liable for disruptions outside our control.

11. Termination

We may suspend or terminate your access if you:

  • Violate these Terms.
  • Fail to pay applicable fees.
  • Engage in fraudulent or illegal activities.

You may stop using Smart Refill at any time by closing your account.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Smart Refill is not liable for indirect or consequential damages.
  • Our total liability will not exceed the amount paid in the last 12 months.
  • We do not guarantee specific business outcomes.

13. Indemnification

You agree to indemnify Smart Refill from claims arising from:

  • Your misuse of the Services.
  • Your violation of laws or these Terms.
  • Disputes between you and your customers.

14. Changes to Terms

We may update these Terms to reflect improvements or regulatory changes.

15. Governing Law & Disputes

These Terms are governed by the laws of the Philippines.
